1. Acceptance of Terms

By creating an account, accessing, or using the RoundAngel platform at roundangel.com (the "Platform"), you ("User", "you") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and Nomad Engineers ("we", "us", "our").

2. Description of the Platform

RoundAngel is an online SaaS platform operated by Nomad Engineers, designed to connect startup founders ("Founders") with angel investors and early-stage investment funds ("Investors") to facilitate discovery, networking, and investment deal flow.

Nomad Engineers does not:

  • Act as a licensed broker-dealer, investment advisor, or financial institution.
  • Guarantee investment outcomes or returns.
  • Facilitate the legal transfer of securities or funds directly between parties.
  • Provide legal, tax, or investment advice.

All investment decisions are made independently by users at their own risk.

3. Eligibility

To use RoundAngel, you must:

  • Be at least 18 years of age.
  • Have the legal capacity to enter into binding contracts in your jurisdiction.
  • Not be located in a country subject to international sanctions where use of the Platform is prohibited.
  • Comply with all applicable local, national, and international laws and regulations, including securities laws in your jurisdiction.

By registering, you represent and warrant that you meet all of the above requirements.

4. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately at support@roundangel.com if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts with inaccurate or misleading information.

5. User Roles and Responsibilities

5.1 Founders

  • You represent that all information provided about your company, product, team, and financials is truthful, accurate, and not misleading.
  • You are solely responsible for your pitch materials, financial projections, and any representations made to Investors.
  • You acknowledge that sharing your company information on the Platform does not constitute a public securities offering.

5.2 Investors

  • You represent that you have the legal authority and capacity to make investment decisions.
  • You are solely responsible for conducting your own due diligence before making any investment decision.
  • Where required by local law, you represent that you qualify as an accredited or sophisticated investor.

6. Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent information.
  • Impersonate any person, company, or entity.
  • Use the Platform for any unlawful purpose, including market manipulation or securities fraud.
  • Scrape, crawl, or systematically extract data from the Platform.
  • Use automated tools (bots, scripts) to access or interact with the Platform without our written consent.
  • Attempt to gain unauthorized access to any part of the Platform or another user's account.
  • Harass, threaten, or abuse other users.
  • Upload or transmit malware, viruses, or any harmful code.
  • Use the Platform to spam users or send unsolicited commercial communications.
  • Violate any applicable securities, anti-money laundering (AML), or know-your-customer (KYC) regulations.

Violation of any of the above may result in immediate account suspension or termination without refund.

7. Intellectual Property

7.1 Platform Content

All content, design, code, trademarks, logos, and materials on the Platform are the intellectual property of Nomad Engineers or its licensors. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

7.2 User Content

By uploading or submitting any content to the Platform (pitch decks, descriptions, logos, etc.), you grant Nomad Engineers a non-exclusive, worldwide, royalty-free license to display, store, and transmit that content solely for the purpose of operating the Platform. You retain ownership of your content.

You represent that you have all necessary rights to the content you upload and that it does not infringe any third-party intellectual property rights.

8. Subscription and Payment

  • Access to certain features of RoundAngel requires a paid subscription.
  • Subscription fees, billing cycles, and plan details are described on our pricing page.
  • Paddle is the authorised reseller (Merchant of Record). All purchases are made from and billed by Paddle.com Market Limited (or the applicable Paddle contracting entity). Your purchase contract is with Paddle, and the Paddle Buyer Terms and Conditions apply to your transaction. Nomad Engineers provides the Platform and support.
  • By subscribing, you authorize Paddle to charge your payment method on a recurring basis. Subscriptions auto-renew until cancelled.
  • All fees are stated in USD unless otherwise indicated.
  • We reserve the right to change pricing with 30 days' notice to active subscribers.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or secure at all times.
  • Any information or matches provided will lead to successful investments or business outcomes.
  • The Platform is free of viruses or other harmful components.

NOMAD ENGINEERS IS NOT A REGISTERED BROKER-DEALER, INVESTMENT ADVISOR, OR FINANCIAL INSTITUTION. NOTHING ON THE PLATFORM CONSTITUTES FINANCIAL, LEGAL, OR INVESTMENT ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOMAD ENGINEERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, or business opportunities.
  • Any investment losses incurred by users.
  • Unauthorized access to or alteration of your data.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT YOU PAID TO NOMAD ENGINEERS IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nomad Engineers and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform.
  • Your violation of these Terms.
  • Your violation of any applicable laws or regulations.
  • Any content you post or submit on the Platform.

12. Termination

  • We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or applicable laws.
  • You may close your account at any time by contacting support@roundangel.com.
  • Upon termination, your right to use the Platform ceases immediately. Sections 7, 9, 10, 11, and 14 survive termination.

13. Modifications to the Platform and Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-Platform notification at least 14 days in advance. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

We may also modify, suspend, or discontinue any part of the Platform at any time without liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with generally accepted principles of international commercial law. Disputes will be resolved first through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of an internationally recognized arbitration body.

15. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Nomad Engineers.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
